On Structural Reform and Personnel Changes

At a meeting of the board of directors held on February 27, 2001, it was decided that we should implement a structural reform along with personnel changes effective as of April 1, 2001. The highlights of the reform are listed below:

Summary of the Structural Reform

- To enable further advancement of "selection and concentration" of our business/management resources, current six operation divisions will be reorganized into four divisions.

- To accommodate our company to the ever growing size of orders, the Sales Division of the Financial Solutions Business Operations will have three departments instead of current two. Likewise, the Development/Support Division of the same operation division will be comprised of four departments rather than three.

- To provide comprehensive support for the realization of IT-enabled product development, design, production processes for the manufacturing industry, the SCM (Supply Chain Management) and Production Management ERP systems business in the Enterprise Solution Business Operations will be merged into the Manufacturing Industry Business Operations that carries on CAD/CAM/CAE and PDM (product data management) systems-related businesses.

- The e-Solutions Business Operations, General Industry Business Operations, and the Enterprise Solution Business Operations (financial, sales, and distribution ERP systems) will be converted into a new General Industry Business Operations in order to accommodate growing number of orders for large, sophisticated Web and CRM systems, and to facilitate concentration of relevant know-how while achieving greater efficiency.

- To further promote our "group management," Corporate Strategy & Planning Division will be newly established. The Corporate Planning Department, the Financial Department, the Legal Department, and the New Business Development Department will be subordinated to the Division.
