Acquisition of the Equity Holding of Shanghai Huazhong Computer Software Development Co., Ltd.
  Information Services International Dentsu, Ltd. (ISID, head office: Nakano-ku, Tokyo, Representative: Jutaro Takinami, President & CEO) hereby gives notice that it was decided at the Board of Directors' Meeting held on March 29, 2004 that the equity holdings of Shanghai Huazhong Computer Software Development Co., Ltd. will be acquired by ISID.

[Reason for the Acquisition of the Equity Holdings]
  Whereas the ISID Group has two overseas subsidiaries, namely, ISI-Dentsu Shanghai Co., Ltd. ("ISID Shanghai") and Shanghai Huazhong Computer Software Development Co., Ltd. ("Shanghai Huazhong"), ISID Shanghai is wholly owned by ISID and Shanghai Huazhong is an affiliated company (Brainyworks, Ltd. : 50.0%; Shanghai JT-OMRON Software Co.,Ltd. 50.0%) of Brainyworks, Ltd. , a member of the ISID Group of companies (ISID: 66.1% equity share).

  In order to consolidate our business base in China through a reinforcement of the ties with ISID Shanghai and Shanghai Huazhong, ISID has now decided to acquire the equity share of Brainyworks, Ltd.
