Information Services International-Dentsu, Ltd. (ISID, head office:

announces that the company sold its holdings of C-Three Inc., an affiliate,
to Trans Cosmos, Inc. (TC) on September 30, 2002, after a Board of Directors'
meeting decided on the sales earlier that day.

4. The reason for the sales
C-Three was established with capital of ¥100 million, of which 66%
of the shares were held by TC and 34% were held by ISID, in October 1997.
It mainly provided technical services to manufacturers.
The shareholders' agreement between Trans Cosmos and ISID limits the
company's operation to technical services concerning CAD/CAM/CAE software
for manufacturers.
By ISID's selling its shares, the limit on C-Three's business expansion
previously agreed on between the shareholders is canceled. As a result
of an agreement at this time with Trans Cosmos, ISID consented to sell
its shares to help the business expansion of C-Three, on the condition
that ISID could receive various kinds of expertise and human resources
through the expansion process.
5. Impact on earnings
The sales of securities holdings are expected to have a minimal impact
on earnings for the current term.
